Terms of Service

These Terms of Service ("Terms") govern your access to and use of cardr.com, the CarDr ULTRA device, the CarDr client dashboard, and any related software, APIs, or SDKs (collectively, the "Services"), provided by CarDr ("CarDr," "we," "us," or "our"). By accessing our website, placing an order, or using the Services, you agree to these Terms on behalf of yourself and, if applicable, the business you represent.

1. Eligibility and Account Use

The Services are intended for use by licensed dealerships, automotive auctions, fleet operators, warranty administrators, lenders, and other business customers. CarDr does not sell or ship devices to individual consumers. Dealership and business accounts are subject to verification before device activation, and CarDr may decline or delay activation pending that verification.

2. Orders, Pricing, and Payment

Submitting an order request through cardr.com is a request to purchase, not a completed transaction. Orders are not final and no payment is collected through the website; a CarDr sales representative will contact you to verify your account and complete payment. Current published pricing (device and subscription fees) is provided for reference and is subject to change; the pricing confirmed by your sales representative at the time of purchase governs your order.

Monthly subscription fees cover the scan allotment and included features described at the time of purchase. Scans included in a monthly package expire at the end of that billing month and do not roll over to the next month. Scans beyond your plan's included allotment, or features not included in your plan, are not available unless separately purchased or arranged with our sales team.

3. Device Warranty

CarDr ULTRA devices carry a 90-day warranty from the date of shipment covering manufacturer defects in materials or workmanship. This warranty does not cover damage from misuse, unauthorized modification, accident, or normal wear. If a device is found defective under this warranty, CarDr will repair or replace it at its discretion. This warranty is provided in place of all other warranties, express or implied, to the maximum extent permitted by law.

4. Subscription Cancellation

Monthly subscriptions may be canceled with 30 days' written notice to CarDr. Cancellation takes effect at the end of the then-current billing cycle following the notice period. Fees already incurred, including scan overage charges, remain due.

5. Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to reverse-engineer, decompile, or interfere with the Services or the security of our platform; (c) resell, sublicense, or provide access to the Services to any party outside your organization without our written consent; or (d) use the Services in a manner that infringes the rights of any third party.

6. Vehicle Data and Reports

CarDr diagnostic and appraisal reports, including the Arbitration Risk Report, are decision-support tools generated from OEM-level diagnostic scans and, where applicable, third-party data sources (such as open recall data). Reports are provided to assist experienced inspectors and business decision-makers — they do not replace professional judgment, a physical inspection, or a legal or arbitration determination, and CarDr makes no guarantee that a report will identify every fault present in a vehicle.

7. Intellectual Property

CarDr, the CarDr logo, CarDr ULTRA, Mechanical Intelligence, and related marks are trademarks of CarDr. The Services, including our software, reports, and documentation, are protected by intellectual property laws and remain the property of CarDr and its licensors. Nothing in these Terms grants you rights to our intellectual property except the limited right to use the Services as intended.

8. SDK, API, and White-Label Use

Use of the CarDr SDK or API is subject to any separate developer or integration agreement provided at the time of access. White-label deployments (custom-branded hardware or applications) are governed by the specific partnership agreement executed between CarDr and the partner.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND EXCEPT AS EXPRESSLY STATED IN THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDR WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SERVICES. CARDR'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID CARDR IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date above reflects the most recent revision. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles, unless otherwise agreed in a separate written agreement between you and CarDr.
